1. Acceptance of Terms
These Terms and Conditions are an agreement between you and Scarlett AI. By creating an account, using the website, or accessing any Scarlett service, you agree to these terms. If you do not agree, please do not use the services.
2. Eligibility and Accounts
- You must be at least the age of majority in your location and able to enter a binding contract.
- Account owners are responsible for all activity that occurs under their account and for keeping credentials secure.
- You agree to provide accurate and current information and to keep it updated.
3. Services and Access
Scarlett provides call handling, voice AI, scheduling, and related tools for MedSpa operations. We may update or modify features to improve reliability, security, and performance. We may suspend access to protect the service or comply with law.
4. Subscriptions and Billing
- Some features require a paid subscription billed on a recurring basis unless canceled.
- Fees, taxes, and carrier charges may apply. You authorize us and our payment processor to charge your payment method.
- Unless stated otherwise, fees are non refundable. Trial periods, if offered, convert to paid service unless canceled before the trial ends.
- We may change pricing with reasonable notice. Continued use after notice means acceptance of the new pricing.
5. Messaging and A2P Compliance
- You must obtain all required consent from message recipients. Keep clear records of consent.
- You are responsible for the accuracy of brand and campaign details for A2P registration and for ongoing compliance with carrier rules.
- Include opt out instructions such as Reply STOP to end and Reply HELP for help.
- Do not send prohibited content or unlawful promotions.
6. Acceptable Use
- Do not interfere with or disrupt the service, attempt to access accounts without permission, or reverse engineer the platform.
- Do not upload harmful code or violate the rights of others.
- Use of the service must follow all laws and carrier rules that apply to your location and industry.
7. Voice AI Calls and Recordings
- Call recording and transcription may be enabled by account owners. You are responsible for obtaining consent where required by law.
- Recordings and transcripts are used to deliver and support the service. You can request deletion subject to legal obligations.
- We do not use your call content to build marketing profiles for unrelated services.
8. Appointments and No Shows
Appointment creation, reminders, and rescheduling are controlled by your settings. You are responsible for any client communication and no show policies that you choose to apply in your business.
9. Third Party Services
Scarlett connects with third party calendars, carriers, analytics, and other tools. Your use of those services is governed by their own terms and policies. Scarlett is not responsible for third party actions.
10. Beta Features
We may invite you to try features labeled as beta or early access. These features are for evaluation and may change, break, or be discontinued. They are provided as is with limited or no support.
11. Intellectual Property
- The Scarlett platform, names, logos, and software are owned by Scarlett or its licensors.
- You own your content. You grant Scarlett a limited license to host, process, and transmit your content as needed to operate the services.
12. Feedback
If you share ideas or suggestions, you grant Scarlett the right to use them without obligation or compensation.
13. Confidentiality
Each party may access confidential information of the other party. The receiving party will protect that information and will not use or disclose it except to provide the services or as required by law.
14. Data Protection
Our Privacy Policy explains how we collect, use, and share information. By using the services you agree to our privacy practices.
15. Security
- We use reasonable administrative, technical, and physical safeguards.
- No method of transmission or storage is completely secure. You are responsible for secure use of the services and for protecting your credentials.
16. Disclaimers
The services are provided as is and as available. To the fullest extent allowed by law, Scarlett disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.
17. Limitation of Liability
To the fullest extent allowed by law, Scarlett will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or goodwill. Scarlett total liability for any claim is limited to the amount paid by you for the service during the three months before the event giving rise to the claim.
18. Indemnification
You will defend, indemnify, and hold harmless Scarlett and its affiliates from claims, losses, and expenses arising from your use of the services, your content, or your violation of these terms or of law.
19. Termination
- You may stop using the services at any time. You can cancel a paid plan in your account settings.
- We may suspend or end access for violation of these terms, for risk to the service, for non payment, or as required by law.
- Sections that by their nature should survive will continue after termination, including ownership, confidentiality, disclaimers, liability limits, and dispute rules.
20. Governing Law
These terms are governed by the laws of your chosen governing jurisdiction without regard to conflict of law rules.
21. Dispute Resolution
- Most concerns can be resolved through your account support channel or the help resources provided in the service.
- If a dispute remains, it will be resolved by binding arbitration on an individual basis, except where not allowed by law. Class actions are not permitted.
- Either party may seek temporary court relief to protect confidential information or intellectual property.
22. Changes to Terms
We may update these terms to reflect changes in our services or in the law. We will place updates on this page and adjust the Last Updated date. Continued use after a change means acceptance of the updated terms.
23. Definitions
- Services means the Scarlett platform, website, and related features.
- Content means data, text, audio, video, or other material you submit or process through the services.
- Confidential Information means non public information disclosed by either party that is marked or reasonably understood as confidential.
